1.1 The Platform. THE WED is an online wedding magazine and vendor directory for the wedding industry, accessible at https://thewed.com/. The Website publishes curated editorial content including wedding features, trend reports, and industry news, and maintains a directory of leading wedding vendors and venues worldwide, including wedding planners, photographers, stylists, florists, stationery designers, bridal designers, fine jewelers, venues, and resorts. The Website also offers annual trend guide publications for purchase and a newsletter. The Website is accessible to users globally.
1.2 Neutral Platform. THE WED operates as a neutral editorial platform and digital media outlet. We are not a wedding service provider, vendor, venue, or agent. We are not a party to any agreement, transaction, or interaction between users of the Website and any vendor, venue, photographer, or other third party listed or featured on the Website. We have no control over the quality, accuracy, safety, legality, or availability of any services offered by vendors or venues listed on the Website, and we accept no responsibility or liability in connection with any such services.
1.3 No Accounts. The Website is view-only for the general public. We do not offer user registration or personal accounts to couples, readers, or general visitors. Vendor and venue profiles are created and managed by THE WED on behalf of paying clients, in accordance with our Public Offer Agreement.
2. Acceptance of Terms and Eligibility
2.1 Acceptance. By accessing or using the Website, you represent that you are at least 18 years of age, that you have the legal capacity to enter into a binding agreement, and that your use of the Website does not violate any applicable law or regulation in your country of residence. If you are accessing the Website on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2.2 Minors. The Website is not intended for use by anyone under the age of 18. We do not knowingly collect personal data from minors. However, photographic, visual, and creative content published on the Website, including wedding photographs, venue imagery, and editorial photography, is owned by its respective creators — primarily photographers and other creative professionals — and is published by THE WED under license or permission granted through the content submission process. THE WED does not claim ownership of third-party creative works published on the Website.
3.2 Limited License to Users. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view THE WED Content for your personal, non-commercial use only. This license does not include the right to download, copy, reproduce, republish, distribute, transmit, display, sell, or create derivative works from any THE WED Content without our prior written consent.
3.3 Trademarks. THE WED, the THE WED logo, and all related graphics, logos, service marks, and trade names used on the Website are trademarks of THEWED LLC and may not be used without our prior written permission in connection with any product, service, or in any manner likely to cause confusion or that disparages or discredits THE WED.
3.4 Prohibited Uses. You agree not to use the Website or THE WED Content for any commercial purpose without our prior written consent; not to use any automated tools, bots, scrapers, spiders, or similar means to access, extract, or collect any content or data from the Website; not to frame or mirror any part of the Website without our authorization; not to modify, adapt, translate, reverse engineer, or create derivative works from any part of the Website or its content; not to use THE WED Content to train, fine-tune, or otherwise develop any artificial intelligence or machine learning model without our prior written consent; and not to remove or alter any copyright, trademark, or other proprietary notices on the Website.
3.5 User-Submitted Content. Certain content on the Website, including vendor and venue descriptions, photographs, and reviews, is submitted to us by vendors and venues or their authorized representatives (collectively, "Submitted Content"). The Company does not independently verify the accuracy or completeness of Submitted Content and makes no representations or warranties in that regard. Responsibility for the accuracy and legality of Submitted Content lies solely with the party who submitted it, in accordance with our Public Offer Agreement.
3.6 Third-Party Creative Content. All photographic, visual, and creative works published on the Website — including but not limited to wedding photographs, venue and event imagery, styled shoot photography, and editorial imagery — are the exclusive intellectual property of their respective creators, including photographers, videographers, and other creative professionals. THE WED publishes such works on the basis of permissions and licenses granted through the content submission process and does not claim any ownership interest in third-party creative works. The publication of any photograph or creative work on the Website does not transfer, waive, or diminish the rights of the original creator in that work. Users may not download, reproduce, share, or use any photograph or creative work appearing on the Website without obtaining prior written permission directly from the rights holder. THE WED accepts no liability for any unauthorized use of third-party creative works by users of the Website.
4. Vendor and Venue Directory
4.1 Directory Listings. The Website features a directory of wedding vendors and venues. Listings are created by THE WED on behalf of paying clients and are subject to our editorial standards and Public Offer Agreement. Inclusion in the directory is not an endorsement by THE WED of any vendor or venue, their services, or their suitability for any particular purpose.
4.2 Reviews. Vendor and venue profiles on the Website may include reviews. These reviews are provided by the vendors and venues themselves and are published by THE WED as submitted, subject to our editorial discretion. THE WED does not independently verify the authenticity or accuracy of any review. We do not write reviews on behalf of vendors or venues. The presence of reviews on the Website does not constitute an endorsement by THE WED of any vendor, venue, or the content of any review.
4.3 Review Standards. By submitting a review for publication, the submitting party represents and warrants that the review is truthful, accurate, and not misleading; that it does not infringe any third party's rights; that it does not contain defamatory, offensive, or unlawful content; and that they have the right to submit it for publication. THE WED reserves the right to decline, edit, or remove any review at its sole discretion, without notice or liability.
4.4 No Transactional Role. THE WED is not involved in and accepts no responsibility for any transactions, bookings, communications, or agreements made between users and vendors or venues found through the Website. Any such interactions are solely between the user and the relevant vendor or venue, and THE WED shall not be liable for any loss, damage, or dispute arising from such interactions.
5. Newsletter
5.1 Subscription. The Website offers a newsletter to which visitors may subscribe by providing their email address. By subscribing, you consent to receiving periodic emails from THE WED containing editorial content, industry news, promotions, and updates about our services.

14. Governing Law and Dispute Resolution
14.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 Informal Resolution. If you have a dispute with THE WED arising out of or relating to these Terms or your use of the Website, we encourage you to contact us first at [email protected] so that we can try to resolve the matter informally. We will make reasonable efforts to address your concern within thirty (30) calendar days of receiving your written notice.
14.3 Dispute Resolution for Vendors and Venues. Any disputes arising between THE WED and vendors or venues in connection with paid services are governed exclusively by the dispute resolution provisions set out in our Public Offer Agreement, including the binding arbitration clause contained therein.
14.4 Disputes with General Users. For disputes with general users, readers, or couples arising out of or in connection with these Terms or the Website, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in New York, New York, and you hereby consent to personal jurisdiction in those courts. Notwithstanding the foregoing, THE WED reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction.
14.5 Limitations Period. Any claim or cause of action arising out of or related to these Terms or your use of the Website must be commenced within one (1) year after the cause of action accrues, regardless of any applicable statute of limitations. Claims not brought within this period are permanently barred.
14.6 Class Action Waiver. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIM OR DISPUTE AGAINST THE COMPANY SHALL BE BROUGHT ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
